Настоящая Публичная оферта (далее — «Оферта») является официальным публичным предложением HintMeTalk AI (далее — «Правообладатель») заключить договор на предоставление доступа к приложению HintMeTalk AI (далее — «Сервис») на условиях, изложенных ниже.
1.1. Оферта адресована любому дееспособному физическому лицу (далее — «Пользователь»), достигшему возраста 18 лет.
1.2. Пользователь может использовать Сервис как гость с ограниченным функционалом либо создать аккаунт, указав адрес электронной почты и пароль.
1.3. Полный перечень прав и обязанностей сторон, а также условия использования Сервиса регулируются Условиями использования и Политикой конфиденциальности, которые являются неотъемлемой частью настоящей Оферты.
2.1. Правообладатель обязуется предоставить Пользователю доступ к функционалу Сервиса на условиях платной подписки (PRO или Premium) либо на бесплатной основе с ограничениями, а Пользователь обязуется оплачивать выбранный тариф и соблюдать условия Оферты.
2.2. Доступный функционал Сервиса включает режимы «Тренер», «Онлайн-подсказчик» и «Психолог», ежедневные челленджи, систему достижений, стриков и рейтингов, а также иные функции, предусмотренные Сервисом.
3.1. Акцептом (согласием) с условиями Оферты является совершение Пользователем действий, направленных на использование Сервиса, в том числе регистрация аккаунта или оплата подписки.
3.2. С момента акцепта договор считается заключённым, а Пользователь — получившим доступ к Сервису в соответствии с выбранным тарифом.
4.1. Стоимость подписки устанавливается на сайте Сервиса и зависит от выбранного тарифа (PRO или Premium) и периода (месяц или год).
4.2. Оплата производится через платёжную систему в рублях или иной валюте, доступной для оплаты. Подписка активируется после успешной оплаты.
4.3. Тарифы и цены могут быть изменены Правообладателем в одностороннем порядке. Изменения не затрагивают оплаченные периоды подписки.
4.4. Для пользователей русскоязычного сегмента («RU») цены на Сервис указаны в российских рублях, и оплата производится в российских рублях.
4.5. Для пользователей англоязычного сегмента («EN») цены на Сервис для удобства указаны в долларах США. При этом расчёт производится в российских рублях: конвертация стоимости из долларов США в рубли выполняется по внутреннему курсу HintMeTalk AI, а последующая оплата — по курсу Центрального банка Российской Федерации на дату платежа.
4.6. Внутренний курс HintMeTalk AI может быть ниже фактического курса Центрального банка Российской Федерации; в таком случае разница рассматривается как предоставленная Пользователю скидка и не подлежит компенсации.
4.7. Фактическая сумма списания в валюте карты Пользователя может незначительно отличаться от указанного номинала в связи с курсом конвертации, применяемым банком-эквайером.
5.1. Пользователь вправе отказаться от подписки в течение 14 дней с момента оплаты, если доступ к Сервису не был использован.
5.2. Для возврата необходимо направить обращение на info@hintmetalk.com с указанием адреса электронной почты, даты оплаты и причины возврата.
5.3. Возврат осуществляется в течение 10 рабочих дней на то же платёжное средство, с которого была произведена оплата, в полном объёме, без вычета комиссий платёжной системы.
7.1. Правообладатель не несёт ответственности за невозможность использования Сервиса, вызванную действиями Пользователя или обстоятельствами непреодолимой силы.
7.2. Ответственность Правообладателя ограничена стоимостью оплаченной Пользователем подписки за 12 месяцев, предшествующих событию, породившему требование.
8.1. Оферта вступает в силу с момента её публикации на сайте hintmetalk.com.
8.2. Правообладатель вправе вносить изменения в Оферту без предварительного уведомления. Актуальная версия всегда доступна на сайте. Продолжение использования Сервиса после изменений означает согласие Пользователя с обновлёнными условиями.
This Public Offer (the "Offer") is an official public proposal by HintMeTalk AI (the "Provider") to enter into an agreement for providing access to the HintMeTalk AI mobile application (the "Service") on the terms set out below.
1.1. The Offer is addressed to any capable natural person (the "User") who is at least 18 years old.
1.2. The User may use the Service as a guest with limited functionality or create an account by providing an email address and password.
1.3. The full scope of rights and obligations of the parties, as well as the terms of use of the Service, are governed by the Terms of Use and the Privacy Policy, which are an integral part of this Offer.
2.1. The Provider undertakes to grant the User access to the Service's functionality under a paid subscription (PRO or Premium) or on a free basis with limitations, and the User undertakes to pay for the selected plan and comply with the Offer.
2.2. The available functionality of the Service includes the "Coach", "Online Suggester" and "Psychologist" modes, daily challenges, an achievements, streaks and leaderboards system, as well as other features provided by the Service.
3.1. Acceptance of the Offer's terms is the User's performance of actions aimed at using the Service, including registering an account or paying for a subscription.
3.2. Upon acceptance, the agreement is deemed concluded and the User is deemed to have received access to the Service under the selected plan.
4.1. The subscription price is set on the Service website and depends on the selected plan (PRO or Premium) and the period (month or year).
4.2. Payment is processed through our payment system in rubles or another available currency. The subscription is activated upon successful payment.
4.3. Plans and prices may be changed by the Provider unilaterally. Changes do not affect paid subscription periods.
4.4. For users of the Russian-speaking segment ("RU"), prices for the Service are shown in Russian rubles, and payment is made in Russian rubles.
4.5. For users of the English-speaking segment ("EN"), prices for the Service are shown in US dollars for convenience. Settlement is nevertheless made in Russian rubles: the price is converted from US dollars into rubles at the HintMeTalk AI internal exchange rate, and the subsequent payment is processed at the exchange rate of the Central Bank of the Russian Federation on the payment date.
4.6. The HintMeTalk AI internal exchange rate may be lower than the actual exchange rate of the Central Bank of the Russian Federation; in that case the difference is treated as a discount granted to the User and is not subject to compensation.
4.7. The actual amount charged in the currency of the User's card may differ slightly from the stated amount due to the conversion rate applied by the acquiring bank.
5.1. The User may cancel the subscription within 14 days of payment if access to the Service has not been used.
5.2. To request a refund, email info@hintmetalk.com with your email address, payment date, and reason for the refund.
5.3. Refunds are issued within 10 business days to the same payment method used for the purchase, in full, without deducting payment system fees.
7.1. The Provider is not liable for the inability to use the Service caused by the User's actions or force majeure circumstances.
7.2. The Provider's liability is limited to the amount paid by the User for the subscription during the 12 months preceding the event giving rise to the claim.
8.1. The Offer comes into force as of its publication on the website hintmetalk.com.
8.2. The Provider may amend the Offer without prior notice. The current version is always available on the website. Continued use of the Service after changes are made constitutes the User's acceptance of the updated terms.
